Terms of Service

01 — Eligibility

You must be at least 13 years old (or the age of digital consent in your country) to use VoicePencil. If you are under 18, you must have a parent or legal guardian who has read and agreed to these terms on your behalf.

02 — License

Verdorian grants you a personal, non-exclusive, non-transferable, revocable license to install and use VoicePencil on iOS devices you own or control, subject to these terms and the Apple App Store's standard end-user license. You may not redistribute, reverse engineer, decompile, or attempt to extract the source code of the App except where prohibited from being restricted by applicable law.

03 — Subscriptions

VoicePencil offers a free tier and a Pro tier. The Pro tier is sold as either a monthly or annual auto-renewing subscription billed through your Apple ID.

• Pro Monthly: $8.99 USD per month, billed monthly.
• Pro Annual: $79.99 USD per year, billed annually, after an optional 7-day free trial.

Prices in other countries are set by Apple based on the equivalent App Store pricing tier and may differ from the USD amounts above. The current price for your region is shown in the App before you purchase.

04 — Free trial

Pro Annual includes a 7-day free trial for first-time subscribers. If you do not cancel before the trial ends, the full annual price is charged on the 8th day and the subscription begins renewing annually. The trial is offered once per Apple ID per subscription group, in accordance with Apple's policy. If you have previously had a Pro trial, the App Store will skip the trial and charge immediately on purchase.

05 — Cancellation

You can cancel an auto-renewing subscription at any time:

1. Open the iOS Settings app.
2. Tap your name at the top, then tap Subscriptions.
3. Tap VoicePencil, then tap Cancel Subscription.

Cancellation takes effect at the end of the current billing period. You retain Pro access until then.

06 — Refunds

All purchases are processed by Apple. Refund requests must be made to Apple directly at reportaproblem.apple.com within the applicable refund window for your country. Verdorian cannot issue refunds for App Store purchases.

07 — AI features and disclaimers

VoicePencil uses third-party artificial intelligence services to transcribe audio and generate summaries, action items, learning materials, and chat answers. AI outputs are produced by statistical models and can be inaccurate, incomplete, or biased. You should always review AI-generated content before relying on it.

By using an AI feature in VoicePencil you consent to the data flow described in our Privacy Policy. You can revoke AI consent at any time in Settings, after which AI features will be disabled.

08 — Your content

You retain all rights to your voice notes, transcripts, and any other content you create in VoicePencil. We do not claim ownership over your content. We do not use your content to train AI models, and we do not authorize our third-party AI providers to use your content for training under our contractual agreements with them.

You grant us a limited, revocable license to process your content only to deliver the features you request — for example, sending audio to Deepgram for transcription and the transcript to OpenAI for summarization — and only for the time required to return the result to your device. We do not retain your content on our servers after the request completes.

09 — Acceptable use

You agree not to use VoicePencil to:

• Violate any applicable law, regulation, or third-party right.
• Record any person without their consent where such consent is required by law.
• Submit content that infringes intellectual property, defames others, contains malware, or sexualizes minors.
• Attempt to bypass quota or rate-limit systems, scrape the API, or otherwise interfere with the service.
• Reverse engineer, decrypt, or extract our Edge Function logic or third-party API integration keys.
• Use VoicePencil to provide a competing transcription or AI-summary service to others.

We may suspend or terminate access to AI features (server-side) if we detect abuse of these provisions. Your locally stored notes remain on your device and accessible regardless.

10 — Warranty disclaimer

VoicePencil is provided "as is" and "as available." To the maximum extent permitted by applicable law, Verdorian disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that AI outputs will be correct, that the App will be free of bugs, or that any specific feature will remain available.

11 — Limitation of liability

To the maximum extent permitted by applicable law, in no event will Verdorian, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of VoicePencil. Our total cumulative liability for any claim arising under or relating to these terms is limited to the greater of (a) the amount you paid Apple for VoicePencil in the twelve months preceding the claim, or (b) USD $50.00. Some jurisdictions do not allow these limitations — in those jurisdictions, our liability is limited to the fullest extent permitted by law.

12 — Indemnification

You agree to indemnify and hold harmless Verdorian, its officers, employees, and affiliates from any third-party claim arising out of (a) your violation of these terms, (b) your violation of any law or third-party right, or (c) your content as processed through VoicePencil.

13 — Termination

You may stop using VoicePencil and uninstall the App at any time. We may suspend or terminate your access to AI features if you breach these terms. Sections that by their nature should survive termination (intellectual property, warranty disclaimers, liability limits, indemnification, governing law) survive.

14 — Governing law and disputes

These terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or VoicePencil will be brought exclusively in the state or federal courts located in Montgomery County, Tennessee, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents you from filing a complaint with a consumer protection authority in your country of residence.

15 — Changes to these terms

We may update these terms from time to time. The effective date at the top of the page is the source of truth. If we make a material change — for example, changing subscription prices or adding new acceptable-use restrictions — we will surface an in-app notice the next time you open VoicePencil. Continued use after a material change constitutes acceptance.
